General Contract for Construction
The contractor identified in this Contract (Contractor) and the customer identified in this Contract (Customer) agree to enter into this Contract (Contract) for the purpose of construction services beginning on the date identified in this Contract.
Services
Contractor shall provide all labor, equipment, materials, and tools necessary to complete the Project (the “Services”). The Services shall be performed in a safe, professional, and workmanlike manner. The specific tasks or deliverables required by the Contract are itemized in the Scope of Work contained in this Contract.
Work Site
Contractor shall perform construction work at the work site identified in this Contract (the “Work Site”). Contractor shall be responsible for the transport of all materials and equipment necessary to the Work Site. Contractor shall ensure that the Work Site is cleaned and organized at the commencement of all work days, and upon completion of all Services.
Payment
The Customer shall make payments to Contractor as set forth in the Payment Schedule contained in this Contract. All payments shall be made in U.S. Dollars and shall include any applicable taxes. Payment for Services rendered by Contractor to Customer shall be due and payable 30 days after receipt and approval of the corresponding deliverable.
Insurance
Contractor shall provide the necessary insurance coverage for the proper and safe performance of the Services, including but not limited to general liability, workers’ compensation, and property damage.
Project Completion
Contractor shall complete the Project within the time period set forth in the Project Schedule contained in this Contract. Contractor shall not be liable for any delays of the completion of the Project. All delays shall be the responsibility of the Customer.
Indemnification
Contractor shall, to the fullest extent permitted by law, indemnify, defend, and hold harmless Customer and its agents, affiliates, and employees from all direct and indirect losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of work performed by Contractor under this Contract.
Termination
Customer or Contractor may terminate this Contract at any time upon written notice. The Customer shall be liable for costs incurred by Contractor prior to the termination of this Contract. Contractor shall be liable for any damages caused by its negligence.
Governing Law
This Contract shall be governed and construed in accordance with the laws of the State of __________.
Independent Contractor
Contractor shall be an independent contractor for all services under this Contract. Neither party shall have any authority to bind or act on behalf of the other.
