Processing contract

1. Introduction

This clause defines the terms and conditions that shall be agreed by and between Contractor, referred to in this document as, “the Party of the First Part,” and Client, referred to in this document as, “the Party of the Second Part.”

2. Duties and Responsibilities of the Party of the First Part

The Party of the First Part shall perform the services referred to in this contract, as stated in such clauses as Appendices A, B, and C.

3. Payment

The Party of the Second Part agrees to pay the Party of the First Part the agreed amount for services rendered in accordance with the terms of this contract, less any applicable taxes and/or other charges, within the specified time period.

4. Warranties

The Party of the First Part agrees that all the services provided under this contract shall be carried out in accordance with the applicable laws of the country and shall adhere to all applicable ethical codes.

5. Indemnification

The Party of the First Part agrees to indemnify the Party of the Second Part against any claims that may arise due to any actions or omissions of the Party of the First Part or any of its employees in the course of the execution of services desired by the Party of the Second Part under this contract.

6. Termination of Contract

Either the Party of the First Part or the Party of the Second Part may terminate this contract for any reason upon 30 days prior notice in writing.

7. Notice

Any notice to be made under this contract shall be in writing and shall be delivered by mail or other acceptable mode of delivery.

8. Governing Law

This contract shall be construed in accordance with the applicable laws of the country where the services are being rendered and shall be subject to the exclusive jurisdiction of the courts of that said country.

This contract has been written in the English language and shall be interpreted accordingly.

9. Entire Agreement

This document constitutes the entire agreement between the Parties and supersedes all other understands, representations, and negotiations between them.

FactorysubcontractAgreement

ThisFactorysubcontractAgreement(hereinafterreferredtoasthe“Agreement”)ismadebyandbetweenthecontractortheundersigned.(hereinafterreferredtoasthe“Contractor”),andtheclient,(hereinafterreferredtoasthe“Client”).

TheContractorismanufacturerortransportingservicethatwillsubcontractworktocomplywiththeClientsspecifications,whichwillbeprovidedbytheClientandareattachedheretoastheAppendix.

1. Services:TheContractoragreestoprovideservicestotheClientandotheroperationsinordertomeettheClientsspecifications.TheContractorwillnotperformanyotherfunctionoractivityastherequestedbytheClient.

2. Payment:TheContractorshallbepaidbytheClientforallworkproperlysubcontracted,whichshallbedeterminedbytheClientsspecifications.PaymentsshallbemadeinaccordancewiththetermssetforthintheAgreement.

3. Compliance:TheContractoragree storemaininthestandardsofcompliancewithallapplicablelaws,regulationsandcodesofethics.

4. Termination:ThisAgreementcanbecancelledbyeitherpartyonwrittennoticegivenbytheotherparty.
