Transportation Contract

This transportation contract is made by and between [Name of Participant A] (hereinafter referred to as “Party A”) and [Name of Participant B] (hereinafter referred to as “Party B”) in order to ensure that both parties understand their respective rights and obligations with respect to the transportation of goods.

1. Terms of Services

a. Party A shall provide transportation services to Party B and agrees to transport the goods as described in the attached Order/Invoice and in accordance with the specified delivery schedule.

b. Party B shall prepare the goods prior to the agreed transportation date, including marking, labeling and packing.

c. Party B shall provide the necessary documents and other information required to allow Party A to complete the transportation according to the agreed delivery schedule.

d. Party A reserves the right to refuse to accept any shipment if not properly labeled or packed.

2. Payment Terms

a. Party B shall pay the transporter’s fee as stated in the Order/Invoice.

b. Payment shall be made within 30 days from receipt of the assigned transport document.

c. If delivery is delayed for any reason, the transporter’s fee shall not be advanced without prior written approval by Party A.

3. Limitation of Liability

a. Party A shall not be liable for any damage or loss of goods in transit, except to the extent of liability under applicable laws.

b. In no event shall Party A be liable for any consequential, incidental, special or exemplary damages, even if Party A was previously advised of the potential for such damages.

4. Termination

Either party may terminate this contract at any time upon written notice given at least three (3) days prior to the intended termination date.

5. Additional Terms

a. No part of this contract may be modified or altered except by a written agreement signed by both parties.

b. This contract shall be governed by the laws of [relevant country].

c. The headings of each paragraph are included for ease of reference and shall not affect the interpretation of this contract.

Transportation Contract

This Transportation Contract (Contract) is entered into by and between Company XYZ, LLC (hereafter known as Company XYZ) and Company ABC, Inc. (hereafter known as Company ABC) and is made effective as of [date].

WHEREAS, Company XYZ is a provider of trucking services, and Company ABC is in need of such services for the transport of goods from one location to another;

WHEREAS, the parties hereto desire to enter into this Agreement for the terms and conditions as outlined herein;

NOW, THEREFORE, in consideration of the foregoing premises and the mutual covenants and agreements hereinafter set forth, the parties hereto agree as follows:

1. Company XYZ shall provide trucks and drivers to transport goods originating from Company ABCs facilities at [location] to various locations within the United States as directed by Company ABC. Company XYZ shall arrange for the timely delivery of said goods in accordance with Company ABCs delivery requirements.

2. Company XYZ shall provide the necessary trucks and drivers to complete the transportation services outlined in this Agreement. Company XYZ shall be solely responsible for the selection, hiring, and payment of truck drivers and the selection, maintenance and payment of equipment necessary for the performance of its obligations hereunder.

3. Company XYZ shall be responsible for the payment of all applicable taxes associated with this Agreement, as well as all costs of doing business including fuel, tolls, insurance, and any other expenses directly related to providing its services.

4. Company ABC shall be responsible for the payment of Company XYZs fees for services rendered under this Agreement. The fee shall be paid in accordance with the payment schedule set forth in Exhibit A.
