Letter of Verification of Investment
This Letter of Verification of Investment (“Letter”) is made and entered into as of [date] between [Investor Name] (“Investor”) and [Business Name] (“Company”).
For good and valuable consideration, receipt and sufficiency of which are hereby acknowledged, and to confirm the terms of an investment to be undertaken by Investor, as follows:
Investor is purchasing [number] of newly issued shares of Company’s common stock (the “Common Stock”). The purchase price per share of Common Stock is [dollar amount] (the “Purchase Price”).
The total purchase price of the Common Stock is [dollar amount], which the Investor has paid in full to the Company.
The Investor hereby agrees that he or she is making the investment solely on the foundation of their own diligences, investigations, and judgment and not on the representations, express or implied, of the Company, nor in reliance upon the statements or information of the Company.
The Company acknowledges that it has received from the Investor good and sufficient consideration for the purchase of the Common Stock, and the Company has issued a Certificate of Stock to the Investor evidencing the purchase of the Common Stock.
The parties further acknowledge that this Letter and the investment in the Company of the Investor are subject to all applicable laws, including but not limited to securities laws.
The parties agree that this Letter shall be deemed to be a binding agreement between the parties and their respective representatives, heirs, executors and assigns.
