Contract for Building Construction

This Contract is made by and between Garden South Construction (the Company) and Garden North Construction (the Client).

1. Scope of Work

The Company is responsible for building a new commercial building for the Client, including land excavation, site preparation, concrete foundation, and framing, as outlined in detail in the Statement of Work annexed herewith and incorporated herein by reference.

2. Timeframe

The Company is to complete the construction project within two (2) months from the date of project commencement.

3. Payment

Payment shall be made in two installments:

(a) The first installment will be fifty percent (50%) of the total bid price and shall be due upon project commencement;

(b) The second installment will be fifty percent (50%) of the total bid price and shall be due upon completion of the project.

4. Warranty

The Company agrees to provide a one-year warranty for the building structure and construction services provided, commencing from the date of project completion.

5. Indemnification

The Company agrees to hold harmless, defend and indemnify the Client from and against all claims, actions or liabilities incurred by or arising out of the Company’s work on the building construction project.

6. Termination

Either party may terminate this contract upon thirty (30) days written notice.

In the event of a dispute arising from this Contract, the parties shall attempt to reach an agreement by mutually acceptable means first. If no agreement can be reached, the parties agree to refer the matter to arbitration.

Article 8. Termination
