Foreign Trade Contract (Telegraphic Transfer)
This Foreign Trade Contract (hereinafter referred to as the Contract) is concluded by and among Party A (Seller) and Party B (Buyer), both of whom agree to be bound by this Contract.
I. General Provisions
1. The Seller shall deliver the following goods to the Buyer in accordance with the provisions herein: _______ (hereinafter referred to as the Goods).
2. The Seller shall deliver the Goods on or before _______ (Date).
3. The Buyer shall make payment by Telegraphic Transfer, in the amount of _______ (Currency: _______).
II. Buyers Obligations
1. The Buyer undertakes to pay the total amount of _______ (Currency: _______).
2. The Buyer shall make the payment to the Seller by Telegraphic Transfer, not later than _______ (Date).
3. The Buyer further undertakes to bear all bank charges related to the Telegraphic Transfer.
4. The Buyer shall provide all documents required for the clearance of the Goods.
III. Sellers Obligations
1. The Seller undertakes to deliver the Goods on or before _______ (Date).
2. The Seller shall provide all necessary documents related to the transaction, and shall ensure that they are in full compliance with the respective laws and regulations of the country of origin.
3. The Seller shall bear all costs associated with the shipping of the Goods.
IV. Warranties
1. The Seller warrants that the Goods are of acceptable quality and shall meet the specifications herein.
2. The Buyer warrants that it has the legal capacity to enter into this Contract and shall fulfill its obligations as described herein.
V. Force Majeure
1. In the event of any Force Majeure, such as natural disaster, war, pandemic, civil unrest, etc., which prevent either Party from performing any of its obligations hereunder, the Party affected by the Force Majeure shall promptly notify the other Party of such circumstances and shall not be liable for any failure to perform the Contract.
VI. Settlement of Disputes
1. In the event of any dispute arising from or in connection with this Contract, the Parties shall endeavor to settle it through friendly consultation.
2. Failing such settlement, the Parties shall submit the dispute to the court of the country in which the Seller is established for resolution.
VII.Miscellaneous
1. This Contract shall become effective upon the signature of both Parties, and shall remain in full force and effect until the Buyer has received the Goods.
2. This Contract and any dispute arising out of or in connection with its subject matter shall be governed by _______ (Law).
