Technology Service Contract

This Technology Service Contract (“Contract”) is entered into between Company A (“Company”) and Company B (“Provider”) for the purpose of defining the terms and conditions of the technology services provided by Provider to the Company.

The Provider is a technology services company which shall supply services to the Company in accordance with the terms and conditions set forth below.

I. Services

The Provider shall provide the following technology services to the Company: consultation, design, development, testing, customization and implementation of software applications, web-based applications, technical support and maintenance of existing ones.

II. Fees

The Company shall pay to the Provider the fees specified in Schedule A. The fees shall be paid in full prior to the commencement of the services by the Provider.

III. Term and Termination

The term of this Contract shall be twelve (12) months from the effective date of the Contract. It may be terminated for convenience or for cause by either party upon thirty (30) days’ written notice.

IV. Warranties

The Provider warrants that the services provided by it shall be performed in a professional and workmanlike manner, conducted in accordance with the good industry practices and shall conform to the service specification.

V. Limitation of Liability

In no event shall either party be liable for any incidental or consequential damages arising from any breach of this Contract.

VI. Indemnification

The Provider shall defend, indemnify, and hold the Company harmless from and against any claim, suits, actions, loss, damage, liability, or expense (including reasonable attorneys’ fees) arising out of or connected with the services provided to the Company.

VII. Payment and Performance

Payment and Performance of the services shall be in accordance with the terms and conditions stated in Schedule A.

This Agreement is entered into on [date] between [party name], a [state] corporation (Company), and [party name], an independent contractor residing at [address] (“Contractor”).

The Company hereby engages the Contractor to provide the services described herein in accordance with the terms and conditions as stated in this Service Agreement (“Agreement).

The Contractor agrees to provide the following services (“Services”) to the Company: [list services to be provided]. The Company shall pay the Contractor for Services rendered in accordance with the payment schedule set forth below.

The Company shall pay the Contractor the sum of [Amount] on the following schedule: [list schedule].

In addition, the Contractor hereby grants to the Company a non-exclusive, irrevocable, worldwide, royalty-free license to use the Contractor’s name and/or logo in connection with the promotion of the Services provided under this Agreement.

This Agreement commences on the date of full execution of this Agreement and shall continue for a term of [term], unless terminated earlier by written notice with cause. Either party may terminate this Agreement at any time with written notice of breach of any of its terms and conditions.

The Contractor agrees that all Services rendered under this Agreement shall be kept confidential and shall not be disclosed to any third party at anytime.
