Authorized Agency Deed

In consideration of the services rendered to ABC Company by the appointed agency, hereinafter referred to as “the Agency”, ABC Company hereby appoints the Agency to act as its authorized agency on the terms and conditions set forth below.

1. Commitment to represent ABC Company

The Agency shall not represent any other company or individual without the written consent of ABC Company. The Agency is committed to representing ABC Company and its products in the best possible manner.

2. Scope of services

The services to be provided by the Agency shall include, but are not limited to, the marketing, advertising, and distribution of ABCD’s products within the scope of the Agency’s territory.

3. Duties and Responsibilities

The Agency shall be responsible for:

a. The agency shall develop and implement a plan for marketing and distributing ABC Company’s products within the scope of its territory

b. The agency shall ensure that the products are sold and distributed in accordance with ABCD’s marketing policies.

c. The agency shall provide periodic reports to ABC Company detailing its activities and the results achieved in its marketing efforts.

d. The agency shall be responsible for the recruitment, training, and management of its employees in the best interests of ABC Company.

4. Compensation

The Agency shall receive a commission for the sales of ABC Company’s products in accordance with the written agreement between ABC Company and the Agency.

5. Termination

This Deed may be terminated by either ABC Company or the Agency, at any time, by giving written notice of termination to the other.

6. Liability

The Agency shall be liable for any act or omission of any of its employees in the course of their employment under this Deed.

This Deed shall be binding upon the parties and their respective successors and assigns.
