Cooperative Contract Concerning Sino-Foreign Cooperating in Management of Agricultural Products
Agreement made and entered into effective on this day, August 22, ____, by and between China Agricultural Cooperatives (hereinafter referred to as “China Agricultural”) of the one part, and ABC International Corporation (hereinafter referred to as “ABC”) of the other part;
WITNESSETH:
Where as, China Agricultural has a desire and requirement to undertake cooperative management of agricultural products, whereby China Agricultural and ABC shall jointly cooperate in management and marketing of the agricultural products of China Agricultural, whereby ABC shall have exclusive rights in the international trade market;
AND NOW, THEREFORE, in consideration of the promises and covenants herein set forth, while the parties reciprocally bind themselves, their respective heirs, executors, administrators and representatives, the parties hereto hereby agree to the following terms and conditions:
1. China Agricultural hereby assigns to ABC exclusive international marketing rights in all agricultural and related product varieties produced and/or marketed by China Agricultural, including commodities currently embraced in China Agricultural’s certificates of authority and all varieties subsequently developed, produced and/or marketed by China Agricultural.
2. The parties hereto, or their respective representatives or successors in interest, agree and consent that the rights granted herein are of a personal and exclusive nature, and further agree and consent that the rights assigned herein shall not be assigned or sub-assigned without the prior written consent of China Agricultural, provided accepted banking channels are employed in marketing of the agricultural products.
3. ABC shall adequately promote and market the agricultural products of China Agricultural within ABC’s international trade market as shall be mutually agreed.
