Logistics Contract
ThisLogistics Contract (this “Agreement”) is made and entered intoonthis __________________ dayof __________, 20_____(the “Effective Date”), by and between ___________________, with its office at __________________ (hereinafter referred to as “Customer”), and _________________, with its office at ___________________ (hereinafter referred to as “Logistics Provider”).
WHEREAS, Customer has a need for intra-continental logistics services for its goods;
WHEREAS, Logistics Provider has the necessary expertise, equipment, and infrastructure to provide such intra-continental logistics services;
NOW THEREFORE, in consideration of the mutual covenants herein contained and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:
1. Definitions
“Delivery Point” shall mean the customer’s location at which the customer will accept the goods from the Logistics Provider.
“Goods” shall mean the customer’s goods the intra-continental logistics of which is the subject of this Agreement which the customer has offered for shipment to Delivery Point.
“Logistics Services” shall mean the intra-continental logistics services covered under this Agreement.
2. Object and Scope
The purpose of this Agreement is to arrange for receipt and delivery of the Goods from customer’s location to Delivery Point by Logistics Provider according to customer’s instructions.
3. Logistics Services
(A) Logistics Provider shall be responsible for the efficient and timely delivery of Goods according to customer’s instructions either in written or verbal form.
(B) Logistics Provider warrants that Goods will be in the same condition upon delivery as they were when they were taken into possession by Logistics Provider.
(C) Logistics Provider shall provide all reasonable assistance to the customer in arranging for the secure storage of Goods, if required.
4 Scheduling
Logistics Provider shall coordinate with the customer to ensure timely delivery of Goods.
5. Delivery& Acceptance
(A) Logistics Provider shall deliver the Goods to Delivery Point according to the customer’s instructions.
(B) Upon delivery of Goods, Logistics Provider shall provide a proof of delivery and accept customer’s written confirmation that Goods were delivered in good condition.
6. Fees
Customer shall pay to Logistics Provider all fees and other charges as claimed from Logistics Provider for the Logistics Services performed pursuant to this Agreement in the timely manner.
7. Representations and Warranties
(A) Logistics Provider warrants that it has the right and the capacity, and is duly authorized, to enter into this Agreement.
(B) Logistics Provider further warrants that it is lawfully in possession of all necessary permits, licenses, and other authorization that are required by law to provide the Logistics Services.
8. Governing Law and Dispute Resolution
This Agreement, and any dispute arising out of performance thereof, shall be governed by the laws of __________. The parties agree that any dispute resolution shall take place through arbitration before an Arbitration Panel appointed by a competent court of ________________.
9. Termination
(A) This Agreement may be terminated by either party for any material breach by the other party of its obligations and duties under this Agreement for which thirty (30) days written notice has been given.
(B) Upon termination, Logistics Provider shall be reimbursed all outstanding fees and against all goods and services delivered in respect of this Agreement.
10. Other Provisions
The parties shall be entitled to all other rights and provisions under applicable law.
IN WITNESS WHEREOF, the parties have, by their respective duly authorized representatives, set their hands and seals on the date first set forth above.
