International Goods Sales Agreement
This International Goods Sales Agreement (the “Agreement”) is entered into in Vienna, Austria on this [date] between [Party A], of legal address [address], represented by [Party A Representative], hereinafter referred to as “Buyer” and [Party B], of legal address [address], represented by [Party B Representative], hereinafter referred to as “Seller.”
Whereas, Seller owns the Goods (as defined below);
Whereas, Seller desires to sell and Buyer desires to purchase the Goods on the terms and conditions stated herein;
Now, Therefore, the Buyer and Seller being of legal age and generally capable of entering into an enforceable contract hereby agree as follows:
1. Contracted Goods and Quantity. The Goods subject to this Agreement include [item], of which [quantity] is to be purchased by Buyer. The total weight of the Goods shall be [weight], and the intended port of departure will be [port of departure], with the port of arrival designated as [port of arrival].
2. Price and Payment
(a) Price. The purchase price for the Goods is the total sum [total price].
(b) Payment. The Buyer agrees to pay a deposit (the “Deposit”) of [amount] upon signing this Agreement. The remaining balance (the “Balance”) of [amount] shall be paid in full by [date].
3. Delivery and Acceptance. The Seller agrees to deliver the Goods to the Buyer at the designated port of arrival on or before [date]. Upon delivery, the Buyer shall have [number of days] to inspect and accept the Goods. If the Buyer accepts the Goods and they are free from any material defects or errors, then the Buyer will pay the remaining balance as provided above.
4. Warranty. The Seller warrants and represents that the Goods shall conform to the specifications stated herein and be of merchantable quality and free from any material defects.
5. Insurance. The Seller shall bear the cost of insuring the Goods for the duration of this Agreement until the Goods are delivered to the Buyer in a commercially reasonable manner.
6. Governing Law and Dispute Resolution. This Agreement shall be governed by and be subject to the laws of Austria. The parties agree to resolve any disputes that arise out of this Agreement through binding arbitration.
7. Notices. Any notice that is required or that either party desires to give to the other shall be given in writing and delivered to the address stated on the first page of this Agreement or when either party has sent written notice to the other of their respective address.
8. Entire Agreement. This Agreement contains the entire understanding of the parties and supersedes all prior agreements, understandings, negotiations and discussions, whether oral or written, of the parties with respect to the subject matter of this Agreement.
9. Amendment. This Agreement may be modified or amended only in writing and signed by the parties.
