Purchase and Sale Contract
This Contract made in ______（the date） between _________________ (the Seller ) and _____________ (the Buyer ).
Now, therefore, the Seller and the Buyer agree as follows:
1. Subject Matter of the Contract. The Seller agrees to sell, and the Buyer agrees to buy, the following goods (the Goods ): ________________________________________________
2. Delivery of Goods. The Seller agrees to deliver the Goods to the Buyer at _________________ (the Place of Delivery ) on or before ______________ (the Delivery Date ).
3. Payment for Goods. The Buyer agrees to pay for the Goods in full, and to make the payment in the amount of ______________ (the Purchase Price ) within _____ days after receipt of an invoice from the Seller.
4. Warranties. The Seller warrants that: (a) the Goods conform to the description stated in the Contract; (b) the Goods are free from all defects in material and workmanship; and (c) the Goods shall be fit for the purpose for which they are intended to be used.
5. Risk of Loss. The risk of loss or damage to the Goods shall pass to the Buyer upon delivery of the Goods to the Buyer at the Place of Delivery.
6. Title. Title to the Goods shall remain with the Seller until the Buyer has paid in full the Purchase Price.
7. Governing Law. This Contract shall be governed and construed in accordance with the laws of the state of __________________.
8. Entire Agreement. This Contract constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior or contemporaneous agreements, understandings and communication, written or oral.
