Co-operative Agreement

This Co-operative Agreement is made this 10th day of January, 2020, between Acme Corporation and XYZ Ltd.

Whereas Acme Corporation and XYZ Ltd. are desirous of entering into a cooperative agreement pursuant to which they may develop, maintain and promote products and services.

Whereas Acme Corporation and XYZ Ltd. desire that the terms of this Agreement be set forth in writing.

Now, therefore, in consideration of the mutual covenants and agreements herein contained, Acme Corporation and XYZ Ltd. hereby agree as follows:

1. PURPOSE

The purpose of this Agreement is to set forth the rights and obligations of both Acme Corporation and XYZ Ltd. with respect to the cooperative development, maintenance, and promotion of products, services and artifacts.

2. SCOPE OF AGREEMENT

2.1 The scope of this Agreement is confined to the cooperative development, maintenance, and promotion of products and services together with the associated artifacts.

2.2 Each party agrees to use its best efforts to develop, maintain, and promote products, services and artifacts in accordance with the terms of this Agreement.

3. COMMITMENTS OF ACME CORPORATION

3.1 Acme Corporation shall have primary responsibility for the following:

(a) Development of the various types of products and services specified in this Agreement.

(b) Installation and maintenance of the associated artifacts.

(c) Promotion of products and services.

3.2 Acme Corporation shall share copies of all software, databases, and other digital information with XYZ Ltd. within 5 business days of its completion.

3.3 Acme Corporation shall retain copies of all software, databases, and other digital information created or maintained under the provisions of this Agreement.

4. COMMITMENTS OF XYZ LTD.

4.1 XYZ Ltd. shall have primary responsibility for:

(a) Documentation and maintenance of the products and services.

(b) Development and promotion of the associated artifacts.

4.2 XYZ Ltd. shall share copies of all software, databases, and other digital information with Acme Corporation within 3 business days of its completion.

4.3 XYZ Ltd. shall retain copies of all software, databases, and other digital information created or maintained under the provisions of this Agreement.

5. FEES

5.1 Acme Corporation shall pay XYZ Ltd. a fee of $5,000 for their part in developing, maintaining, and promoting the products and services specified in the Agreement.

5.2 XYZ Ltd. shall pay Acme Corporation a fee of $10,000 for their part in developing, maintaining, and promoting the products and services specified in the Agreement.

6. CONDITIONS

6.1 This Agreement shall be subject to the laws and regulations of the State of California.

6.2 This Agreement shall remain in full force and effect until such time as either party may, upon sixty (60) days’ notice, terminate the Agreement.

In witness of the foregoing, the parties have executed this Agreement as of the date first written above.

This is a cooperation contract between XXX and XXX.

Parties: XXX represents and warrants that it is a legal person with full capacity for civil rights and capacity for civil conduct and is capable of performing its contractual obligations, and XXX represents and warrants that it is a legal person with full capacity for civil rights and capacity for civil conduct and is capable of performing its contractual obligations.

Subject matter: XXX will provide XXX with the development and technical support required to complete the project and will ensure that the project is completed on schedule.

Term: This cooperation contract will come into effect on January 1, 20XX and end on December 31, 20XX.

Payment Terms: XXX will pay XXX a total of XXX for its services. Payment will be made in full within 30 days of the first invoice being issued by XXX.

Confidentiality: Both parties shall keep confidential all information relating to the contents of this Agreement and related information, including but not limited to trade secrets, technical data, business plans, customer information and the like.

Representations and warranties: Each party hereby represents and warrants to the other that all necessary corporate actions and procedures have been taken by such party and such party is legally authorized to enter into this Agreement and to consummate the transactions contemplated hereunder.

Amendment and termination: Either party may modify or terminate this contract upon written notice to the other party.

This cooperation contract has been signed and entered into by both parties on this day, with the understanding that once it has been duly drafted and signed, both parties shall be bound by its terms.
