Contract of Processing and Assembling
This Contract made and entered into by and between Party A and Party B as of [date].
Whereas, Party A is engaged in the business of Processing and Assembling, and
Whereas, Party B desires that Party A perform such services for Party B,
Now, therefore, the Parties, intending to be legally bound, hereby agree as follows:
1. Services. Party A agrees to perform processing and assembling services for Party B in accordance with Party Bs specifications, drawings, and/or other instructions from Party B.
2. Materials. Party B agrees to provide all materials and components necessary for Party A to complete the requested processing and assembling services.
3. Time. Party A agrees to commence providing the processing and assembling services on [date], and to complete such services on or before [date].
4. Price. Party B agrees to pay Party A the sum of [$] for the processing and assembling services to be provided pursuant to this Contract.
5. Assignment. Neither of the Parties shall assign any interest in this Contract without the prior written consent of the other Party.
6. Governing Law. This Contract shall be governed by the laws of the [state/country].
7. Amendment. This Contract may be amended or modified only upon prior written agreement of the Parties.
8. Dispute Resolution. In the event of a dispute arising under this Contract, the Parties agree to make every effort to resolve such dispute through good faith negotiation and discussions.
9. Effect of Breach/Default. In case of breach/default, Party A agrees to be liable to Party B in accordance with the laws of the state/country.
10. Validity. This Contract shall be valid and binding upon execution, and shall remain in full force and effect until completion in accordance with the terms and conditions set forth herein.
IN WITNESS WHEREOF, the Parties have executed this Contract on the date set forth in the first paragraph.
By signing this Contract, each of the Parties acknowledges that he/she understands the terms, rights and obligations set forth herein and agrees to be legally bound thereby.
