This is an agreement, made effective on [date], between [Name], herein referred to as the “Contractor,” and [Name], herein referred to as the “Client.” This agreement will be in regards to [scope of work].
The Contractor has agreed to complete [scope of work] for the Client. The Client has agreed to issue compensation for the services rendered by the Contractor. It is agreed that the Contractor will provide the following services to the Client: [list of services].
The Contractor agrees to complete the [scope of work] as outlined in the job specifications. The Contractor agrees to meet the timeline and deliverables specified in the agreement. The Client agrees to pay the Contractors services in the amount of [amount], to be paid in [amount of payments], as outlined in the payment schedule below:

- Initial payment of [amount] due on [date].
- Second payment of [amount] due on [date].
- Final payment of [amount] due on [date].
The Client agrees to make all payments in full by the payment due date, unless otherwise agreed upon.
If either party breaches the agreement, written notice must be provided immediately to the other party. Both parties agree to make a good faith effort to resolve any disputes or misunderstandings that may arise and that any disputes should be settled through mediation.
This agreement will be governed by the laws of [state/province], and all disputes will be subject to the jurisdiction of the local courts of [county/district].
This agreement is the entire understanding between the Client and the Contractor and supersedes any prior negotiations, representations, or agreements between the parties.
